The United States are, from an economical point of view, the strongest country in the world. English is the official language but Spanish is used in the southern part of the country as well. The U.S. operate on similar principle as EU because every state has its own legislation including tax system and company establishment. The best conditions for establishment and management of a company are in Delaware, Nevada and Wyoming.

Basic information about business in the U.S.

The United States are not considered as a tax haven, but after fulfilling certain legal requirements a full exemption from income tax could be awarded. Companies established in the USA have a great credibility and much less restrictions than Slovak companies.

American companies also offer a high   level of anonymity and can be used for example as holders of shares in companies in other countries, for creation of holding structures or for various other types of business. There are two basic  types of companies which can be established in the U.S.:

LLC Companies – Limited Liability Company (L.L.C., LLC, LC)

Thanks to the high credibility they are mainly used in offshore structures. In case of a proper plan of an offshore structure, the company is not liable to the U.S. federal tax system and therefore can avoid to pay the income tax.

Requirements for non-inclusion in the U.S. tax system are:

• none of the company owners can not be a resident in the U.S. (no citizenship nor green card issued)
• no operations at the U.S. territory
• no office nor seat at the U.S. soil

Price for the registration of a limited liability company (L.L.C., LLC, LC) is € 700. Renewal fee over next few years is 550 €, including all fees to the state, charges for the seat of your company and for a registration agent.

Inc. Companies – Corporation (Inc., Ltd., Co., Corp., Limited, Corporation)

These are classic joint-stock companies in the U.S.. They are usually used for their high credibility as holders of shares in companies in other countries, for creation of holding structures or for business in spheres of IT, marketing and trade. The U.S. have with more than 50 states treaties forbidding a double taxation, investment protection and other international treaties or arrangements which may be beneficial for your business.

Price for the establishment of Corporation is € 900. Renewal fee over next few years is 550 €, including all fees to the state, charges for the seat of your company and for a registration agent.
